THIS ADVISORY AGREEMENT ("Agreement") is entered into on this 28 November 2025 ("Effective Date"), by and between:

Kickstart Vision To Reality Private Limited ("Company" or "KVR"), a company incorporated under the Companies Act, 2013, having its registered office at ML 01 Sanjay Vihar Awas Vikas, Near SBI Bank, Meerut Road, Hapur, Uttar Pradesh, 245101, India.

AND

Advisor:
<<Advisor’s Full Name>>, residing at <<Advisor’s Address>> ("Advisor").

1. 1. Engagement
   The Company hereby engages the Advisor to provide strategic, technical, financial, or operational advisory services ("Services"), and the Advisor agrees to provide such Services in accordance with the terms of this Agreement.
2. 2. Scope of Services
   The Advisor shall:
   • Provide guidance on business strategy, partnerships, hiring, compliance, and market growth.
   • Attend meetings (physical or virtual) as reasonably requested.
   • Share industry expertise and professional network for the benefit of the Company.
   • Not be obligated to devote full-time services; advisory role is on a non-exclusive basis.
3. 3. Term
   This Agreement shall commence on the Effective Date and continue for a period of 3 years unless earlier terminated in accordance with Clause 8.
4. 4. Compensation
   As consideration for Services, the Advisor shall be entitled to: Hybrid — a combination of cash and equity.
5. 5. Confidentiality
   The Advisor agrees to maintain strict confidentiality of all information, trade secrets, financials, and business plans of the Company and shall not disclose such information to any third party without prior written consent.
6. 6. Non-Compete & Non-Solicit
   During the Term of this Agreement and for a period of 12 months thereafter, the Advisor shall not:
   • Engage in business activities directly competing with the Company.
   • Solicit or hire employees, clients, or vendors of the Company.
7. 7. Intellectual Property
   Any ideas, recommendations, or materials developed by the Advisor for the Company shall be the exclusive property of the Company.
8. 8. Termination
   This Agreement may be terminated:
   • By either Party with 30 days' prior written notice.
   • By the Company immediately in case of material breach, misconduct, or conflict of interest.
   • Automatically upon the expiry of the Term.
9. 9. Independent Contractor
   The Advisor is an independent contractor and not an employee, agent, or representative of the Company. No employer-employee relationship shall be deemed to exist.
10. 10. Governing Law & Jurisdiction
    This Agreement shall be governed by and construed in accordance with the laws of India. Courts at Hapur, Uttar Pradesh shall have exclusive jurisdiction.
11. 11. Entire Agreement
    This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions or representations.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
